

EscherBot – Terms of Use
Effective Date: 1 January 2026
These Terms of Use (“Terms”) govern access to and use of EscherBot, an AI-enabled chatbot feature made available by Escher. By clicking “Accept” or by accessing or using EscherBot, you confirm that you have read and agree to these Terms.
“Escher” means Escher Group Holdings Limited and its affiliated group companies.
“User” means any individual who accesses or uses EscherBot, including employees, contractors, partners, and authorised users of Escher customers.
1. Relationship to Existing Agreements
Where a User accesses EscherBot on behalf of an organisation that has entered into a licence, maintenance, support, or services agreement with any Escher group entity, these Terms supplement such agreement solely in respect of EscherBot.
2. Scope and Application
These Terms apply to all use of EscherBot, whether by internal or external Users, and apply solely in relation to EscherBot.
EscherBot is not covered by: (i) service level agreements (SLAs), (ii) uptime or availability commitments, or (iii) support or maintenance obligations under any existing agreement, unless expressly stated otherwise in writing.
In the event of any conflict, these Terms prevail in relation to EscherBot.
For Escher personnel, these Terms apply in addition to, and do not replace, any applicable employment agreements, contractor agreements, or internal policies.
EscherBot is intended for business and internal use only and is not directed at consumers acting in a personal capacity.
3. Trial / Pilot / Beta Features
Where EscherBot, or any part of it, is made available as a trial, pilot, beta, preview, or evaluation feature, it is provided solely for evaluation and feedback purposes. Such features are not production-ready, may contain errors or limitations, and may be modified, suspended, or withdrawn at any time, without notice or liability.
4. Description and Intended Use of EscherBot
EscherBot provides automated, AI-generated responses intended to assist Users in obtaining useful information relating to Escher products.
EscherBot: (i) operates using configured knowledge sources and Microsoft AI tools; and (ii) does not perform automated actions, system changes, or configurations.
All outputs are informational only and are not a substitute for official documentation, professional judgment, or independent verification.
5. Transparency and AI Use
Users acknowledge that EscherBot is an AI system generating automated responses, and that such responses may be probabilistic, incomplete, or inaccurate.
EscherBot does not make automated decisions producing legal or similarly significant effects, nor does it engage in profiling or automated decision-making within the meaning of Article 22 GDPR.
Human oversight is required at all times. Users remain responsible for assessing and validating outputs before any reliance or action.
EscherBot is not intended for use in high-risk use cases within the meaning of the EU Artificial Intelligence Act.
6. No Reliance and Disclaimer
EscherBot outputs: (i) may be incomplete, outdated, or incorrect; and (ii) must not be relied upon as authoritative, official, or definitive. EscherBot does not provide legal, regulatory, compliance, security, financial, or professional advice. Any reliance on EscherBot outputs is at the User’s own risk. Escher does not guarantee accuracy, reliability, or suitability for any purpose.
To the maximum extent permitted by law: EscherBot is provided without warranties of any kind, whether express or implied, including but not limited to: accuracy, fitness for a particular purpose, non-infringement, availability or uptime.
7. Acceptable Use
Use EscherBot only for lawful purposes. User must not:
Users are solely responsible for the accuracy and legality of any information Users provide. Escher may suspend or revoke access for misuse or breach of these Terms.
8. Data Protection
Escher processes limited User profile data and interaction data in connection with EscherBot in accordance with applicable data protection law, including the GDPR. Escher acts as data controller for such processing, as further described in the EscherBot Privacy / Data Processing Notice, which is made available with the product. Escher does not use User inputs or outputs to train public or third-party AI models.
By using EscherBot, the User acknowledges that:
9. Intellectual Property
All intellectual property rights in EscherBot, including its models, prompts, workflows, configurations, and outputs, remain vested in Escher or its licensors. No rights are granted to Users except the limited right to use EscherBot in accordance with these Terms.
User grants Escher a non-exclusive, royalty-free right to use feedback for product improvement.
10. Limitation of Liability
To the maximum extent permitted by law, Escher shall have no liability arising from or related to EscherBot where it is provided as a trial, pilot, beta, preview, or evaluation feature.
Escher shall not be liable for: (i) indirect, incidental, consequential, or special damages; (ii) loss of profits, data, business, or goodwill; arising from or related to (w) use or inability to use EscherBot, (x) reliance on EscherBot outputs, (y) errors, omissions, or inaccuracies, (z) decisions made based on EscherBot responses.
Escher’s total aggregate liability arising out of or in connection with EscherBot and these Terms (whether in contract, tort (including negligence), breach of statutory duty or otherwise) shall not exceed one thousand euros (EUR 1,000).
Nothing in these Terms limits liability that cannot be excluded under applicable law.
11. Indemnification
The User agrees to indemnify and hold harmless Escher from any third-party claims, losses, damages, or liabilities arising out of or in connection with: (i) the User’s use of EscherBot in breach of these Terms; (ii) the User’s misuse of EscherBot outputs, including reliance on such outputs contrary to these Terms; or (iii) the User’s infringement of applicable laws or third-party rights in connection with the use of EscherBot.
12. Availability & Modifications
EscherBot is provided “as is” and “as available”. Escher may modify, suspend, or discontinue the service at any time. Escher may update these Terms periodically; continued use constitutes acceptance.
13. Suspension and Termination
Escher may suspend or terminate access to EscherBot at any time, with or without cause. Upon termination, Users must cease all use of EscherBot.
14. Governing Law and Jurisdiction
These Terms are governed by and construed in accordance with the laws of Ireland, and the Irish courts shall have exclusive jurisdiction, subject to mandatory consumer protection laws where applicable.
15. General
Escher may update these Terms from time to time. Updated Terms will be made available within the product. Continued use of EscherBot after an update constitutes acceptance of the revised Terms. If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. Failure by Escher to enforce any provision shall not constitute a waiver of that provision.
